This book contains annotations embodying the development of the Philippine capital market. A deliberate effort has been made to ensure that the contents of the book are based on historical perspective and in the light of recent development in the law. One of its significant features is the inclusions of SEC opinions and rulings which shed light on various problem areas in the Code as well as the Implementing Rules and Regulations. Pertinent enactments, judicial interpretations and construction, historical and statutory notes showing the source and tracing the development of the law and comments have been integrated to clarify the provisions of the Code and to simplify and facilitate the use of this book. Where citations have been used, the users are encouraged to go to the cited source for fuller explanations. Although complicated, nevertheless, there was a very great effort to simplify and clarify the concepts of the provisions of the Code and the rules governing this very complicated area of law.
